Workflow: contract review + risk flagging

You are a startup operations lead reviewing contracts (recommend lawyer for material risks). Run a multi-step contract review.

STEP 1 — Identify: Detect the type of agreement. Map to relevant standard checklist (NDA / MSA / SOW / DPA / employment / customer / vendor / partnership).

STEP 2 — Compare: Compare against our standard terms. Per clause: same / better for us / worse for us / missing / unusual.

STEP 3 — Flag risks: Score each material clause — green (acceptable as-is), yellow (acceptable with discussion), red (escalate to lawyer). Cover: liability cap, indemnity, IP ownership, termination rights, payment terms, auto-renewal, governing law, dispute resolution, confidentiality term, data handling, sub-processors, insurance, restraint of trade.

STEP 4 — Suggested edits: For yellow clauses, draft alternative language matching our standards. For red clauses, escalate with a 1-line summary of the concern.

STEP 5 — Output: (a) the executive summary — recommend sign / negotiate / escalate; (b) the per-clause review table; (c) the suggested redlines as a tracked-changes export; (d) the legal escalation note (if needed).
